Business Identification

These Terms and Conditions ("Terms") are entered into between you ("Client," "you," or "your") and ZAISTECH LLC ("ZaisTech," "we," "our," or "us"), a limited liability company registered in the State of Wyoming, United States, with its registered address at 30 N Gould St, Ste R, Sheridan, WY 82801, United States.

Agreement to Terms

By accessing our website (zaistech.com), engaging our services, or making a purchase, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree to these Terms, please do not use our website or services.

Description of Services

ZaisTech provides ecommerce performance optimization and web development services, including but not limited to:

• Website speed and Core Web Vitals optimization
• Site performance audits and technical assessments
• Custom Shopify app development
• Headless commerce migrations (e.g., Next.js)
• Cloud infrastructure setup and optimization
• Ongoing technical support and maintenance
• Conversion rate optimization (CRO)
• Checkout flow optimization

The specific scope of work for each engagement will be agreed upon in writing before the commencement of any project.

Client Obligations

As a client, you agree to:

• Provide accurate and complete information necessary for us to perform the services
• Grant timely access to systems, platforms, and accounts required for the project
• Respond to requests for feedback and approval within reasonable timeframes
• Comply with all applicable laws and regulations in connection with your use of our services
• Not use our services for any unlawful, fraudulent, or harmful purpose

Payment Terms

Payment terms will be specified in the project agreement or invoice provided to you. General terms include:

• All prices are quoted in US Dollars (USD) unless otherwise stated
• Payment is due according to the schedule outlined in your project agreement or at the time of purchase
• We accept payments via secure online payment processing. All transactions are processed securely through our third-party payment processor
• Late payments may incur interest at a rate of 1.5% per month on outstanding balances
• For subscription-based services, billing occurs on a recurring monthly basis. You may cancel at any time, and your service will continue until the end of the current billing period

Refund & Cancellation

Refunds and cancellations are governed by our Refund Policy. Please review it carefully before making a purchase. In summary:

• Refund requests must be submitted within 14 days of purchase or project kickoff
• Cancellation before work begins is eligible for a full refund
• Partial refunds may apply if work has started but is not complete
• Third-party costs are non-refundable

Service Guarantees

Service guarantees, including the 7-Day Speed Guarantee for our Fix Web Vitals service, are subject to the terms outlined in our Refund Policy.

Intellectual Property

Upon full payment, the client will own the final deliverables created specifically for the project, unless otherwise agreed in writing. ZaisTech retains ownership of:

• Pre-existing tools, frameworks, libraries, and code used in the project
• General methodologies, techniques, and know-how developed during the project
• The right to showcase the project in our portfolio and case studies (unless you request otherwise in writing)

All content on the ZaisTech website — including text, graphics, logos, and software — is the property of ZaisTech and is protected by applicable intellectual property laws.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business data, technical specifications, login credentials, and financial information. This obligation survives the termination of the agreement.

Limitation of Liability

To the maximum extent permitted by law, ZaisTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to the use of our services or website. Our total liability for any claim shall not exceed the total amount paid by you for the specific services giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless ZaisTech, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of our services, violation of these Terms, or infringement of any third-party rights.

Termination

Either party may terminate the engagement by providing written notice. Upon termination:

• The client will pay for all work completed up to the date of termination
• ZaisTech will deliver all completed work and materials to the client
• Any pre-paid amounts for undelivered services will be handled in accordance with our Refund Policy

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. While we strive to deliver excellent results, we do not guarantee specific outcomes such as revenue increases, traffic growth, or search rankings.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising from or related to these Terms or our services shall be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be submitted to binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms.
